1. Acceptance of Terms

Welcome to Verity-OS, provided by Verity Software Solutions ("Verity", "we", "us", or "our"). By accessing or using our software platform, website, applications, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms").

If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not accept this agreement and may not use the Services.

2. Provision of Services

Verity-OS is a configurable business software platform designed for organizations to manage operations through custom modules. We grant you a non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms and your subscription plan.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time. We will provide reasonable advance notice of any material changes that adversely affect your use of the Services.

3. Customer Content and Responsibilities

3.1 Data Controller Status

As outlined in our Privacy Policy, you (the Customer) act as the Data Controller for all information and data you input, upload, or process through the Services ("Customer Content"). Verity acts strictly as the Data Processor.

3.2 Lawful Use

You are solely responsible for ensuring you have the appropriate authority, consent, and legal basis to collect, process, and transfer all Customer Content to Verity. You agree not to use the Services to store or transmit infringing, libelous, or otherwise unlawful or tortious material.

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials (managed securely via Amazon Cognito) and for all activities that occur under your accounts. Verity enforces strict multitenancy data isolation, but users must protect their physical devices and passwords.

4. Fees and Payment

Access to certain Services requires payment of subscription fees. All payments are processed securely through our third-party provider, Stripe. By subscribing, you authorize us to charge your selected payment method on a recurring basis as per your plan.

Fees are non-refundable except as required by law or explicitly stated in a separate enterprise agreement. We reserve the right to change our pricing with 30 days' advance notice.

5. Intellectual Property

Verity retains all right, title, and interest, including all intellectual property rights, in and to the Services, underlying technology, software, algorithms, and designs. Your use of the Services does not grant you any ownership rights in our software or infrastructure.

You retain all ownership rights to your Customer Content. By utilizing the Services, you grant Verity a limited license to host, process, and display your Customer Content solely to provide and improve the Services for you.

6. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Verity Software Solutions be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, the Services.

7. Termination

You may terminate your account at any time by contacting our support team or utilizing the account management tools within the platform. Upon termination, Verity will securely delete your Customer Content in accordance with our data retention policies and applicable laws (such as PIPEDA and PIPA).

We reserve the right to suspend or terminate your access to the Services immediately, without prior notice, if you breach any of these Terms.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.
